A small supplier waits four months for a large buyer to pay, chases it politely, and writes the delay off as the cost of dealing with big companies. A registered MSME in the same position is owed compound interest at three times the RBI bank rate, has a fast-track forum to enforce it, and the buyer cannot claim the income tax deduction until the bill is actually paid.

Udyam registration is free, paperless and takes minutes on udyamregistration.gov.in, and it is what converts an MSME's statutory protections β€” the 45-day payment rule above all β€” from theory into something you can enforce.

The bottom line

What it costs: nothing. It is free, self-declared, and no documents are uploaded. Any site charging you for it is a scam.

What it gets you: the delayed-payment remedy under the MSMED Act, 2006, collateral-free lending, tender preference with EMD exemption, and access to subsidy schemes.

What it does not do: renew or expire. The certificate carries a permanent registration number and never needs renewal.

Who counts as an MSME

Classification uses a composite criterion β€” both investment in plant and machinery or equipment and annual turnover must be within the limit, and crossing either one moves the enterprise up a category. These limits were revised with effect from 1 April 2025:

  • Micro: investment up to Rs. 2.5 crore and turnover up to Rs. 10 crore.
  • Small: investment up to Rs. 25 crore and turnover up to Rs. 100 crore.
  • Medium: investment up to Rs. 125 crore and turnover up to Rs. 500 crore.

Manufacturing and service enterprises share the same thresholds. Classification is dynamic β€” the figures come straight from your linked PAN and GST data rather than from anything you type in.

The delayed-payment protection

This is the benefit worth registering for on its own. Under the MSMED Act, 2006, a buyer who takes goods or services from a registered MSME must pay within the agreed period, or within 45 days where nothing was agreed.

Miss that and the buyer owes compound interest at three times the RBI bank rate. Disputes go to the Micro and Small Enterprises Facilitation Council, which conciliates and then arbitrates β€” considerably faster than a civil suit.

The provision with the sharpest teeth is in the tax law rather than the MSMED Act. A buyer cannot claim the income tax deduction for an overdue MSME payment until it is actually paid, which turns a supplier's problem into the buyer's finance team's problem.

How it works in practice

A registered micro enterprise supplies goods worth Rs. 4 lakh on 30-day credit terms. The buyer pays after 100 days.

The supplier is entitled to compound interest at three times the RBI bank rate on the overdue amount for the 70 days of delay. If the buyer resists, the supplier files a reference with the MSEFC, which conciliates and, failing that, arbitrates. None of this requires the supplier to sue anyone.

The other benefits

  • Collateral-free loans under the Credit Guarantee Fund Scheme, CGTMSE.
  • Priority sector lending, and lower interest rates from banks.
  • Subsidies on patent registration, ISO certification and industrial promotion.
  • Preference in government tenders, with many reserved exclusively for MSMEs, and exemption from earnest money deposit.
  • Concessions on electricity bills and reimbursement of certain certification costs.

Registering, step by step

The whole process is online, free, paperless and based on self-declaration, with no documents uploaded. Use only udyamregistration.gov.in.

  1. On the home page, click For New Enterprise who are not Registered yet as MSME.
  2. Enter the Aadhaar number and name exactly as they appear on the Aadhaar β€” of the proprietor for a proprietorship, the managing partner for a partnership, or the karta for an HUF. For a company, LLP, society or trust, use the authorised signatory's. Click Validate & Generate OTP and enter the OTP.
  3. On the PAN page, select the type of organisation, enter the PAN and validate. A proprietorship with no PAN yet can register on Aadhaar alone; companies, LLPs, societies and trusts must provide PAN and GSTIN.
  4. Fill in the enterprise details β€” name, social category, gender, mobile and email, plant and office addresses, bank account with IFSC, and the main business activity with its NIC code.
  5. The portal auto-fetches investment and turnover from your PAN and GST data and classifies you. Submit the final OTP.
  6. The Udyam Registration Certificate is generated online and emailed to you, with a permanent registration number and a dynamic QR code.

Fake paid websites

Look-alike sites charge hundreds or thousands of rupees for a service the government provides free. They rank well in search results and look official. Type the gov.in address yourself rather than clicking an advertisement.

Udyam Assist, for enterprises below the GST threshold

Very small informal enterprises without GST registration were originally shut out of Udyam, since the classification pulls from GST data. The Udyam Assist Platform lets them get formally recognised through designated agencies such as banks.

It exists so that street vendors and tiny units can reach priority-sector benefits, and it is the route to use when a business is genuinely too small to be GST-registered.

Keeping the registration current

Registration is permanent, but the classification is not. Because it is linked to PAN and GST data, growth in investment or turnover can move an enterprise from micro to small to medium.

Crossing a limit does not strip the benefits overnight. A defined transition period applies before the new classification and its expectations take full effect.

Tenders and the GeM portal

Government procurement is the most underused advantage of MSME status. Under the Public Procurement Policy, central ministries and public sector undertakings must source a substantial share of annual purchases from micro and small enterprises, with sub-targets reserved for units owned by women and by Scheduled Caste and Scheduled Tribe entrepreneurs.

Registered MSMEs also get exemption from earnest money deposit, free or concessional tender documents, and in certain cases the right to match the lowest bid. The Government e-Marketplace, GeM, lets registered MSMEs sell directly to government buyers nationwide β€” a reliable market that small businesses routinely overlook.

The scheme access nobody mentions

Udyam registration is also the gateway to quality certification support under the Zero Defect Zero Effect scheme, technology and skill upgradation programmes, cluster development support, and interest subvention during specified periods. None of it is reachable without a valid registration.

What to have to hand

  • Aadhaar and PAN of the proprietor, partner or director
  • GSTIN, if registered
  • Bank account details with IFSC
  • The NIC code for your primary business activity
  • Investment and turnover figures from your latest filings

Frequently asked questions

Does Udyam registration cost anything? No. It is completely free on the official portal. Sites charging a fee are not government sites.

Does the registration expire? No. The certificate carries a permanent number and needs no renewal, though the classification updates with your PAN and GST data.

What is the 45-day rule? A buyer must pay a registered MSME within the agreed period, or within 45 days if none was agreed, failing which compound interest at three times the RBI bank rate applies.

I have no GST registration. Can I still register? Yes, through the Udyam Assist Platform, via a designated agency such as a bank.

What happens if my business grows past the limit? You move up a category, with a defined transition period before the new classification fully applies.

How do I actually enforce a delayed payment? File a reference with the Micro and Small Enterprises Facilitation Council, which conciliates and then arbitrates the dispute.
